Terms of Service

These Terms of Service ("Terms") govern your use of the Human Health Operations Platform ("HHOP", "the Platform") provided by Coruscant Capital Holdings ("Coruscant", "we"). By creating an account or using HHOP you agree to these Terms.

1. The service
HHOP is a configurable infrastructure layer for continuous monitoring, configurable alerts, workflow execution, and audit. It is provided as software-as-a-service to organisations that deliver health and care services.
2. Not a medical device, not medical advice
HHOP is not a medical device. It does not diagnose, recommend treatment, or make medical decisions. All clinical interpretation and decision-making remain the sole responsibility of the licensed practitioners using it. Alert thresholds are configured by the organisation, not by Coruscant.
HHOP must not be used as a sole monitoring system in life-critical settings (e.g. ICU, anaesthesia, cardiac telemetry suites) where regulated medical devices are required.
3. Eligibility & accounts
- You must be at least 18 years old and legally able to enter contracts.
- You are responsible for maintaining account credentials and MFA.
- Each user must have their own account; credentials must not be shared.
4. Subscriptions, trials, and billing
- Subscriptions are per-seat, billed monthly or annually as selected at checkout. Payment is processed by Stripe.
- A 90-day free trial is available to new organisations only. A valid card is required at checkout; the card will be charged automatically on day 91 unless cancelled before then.
- Trials are non-transferable. We may revoke trial eligibility for fraud or repeat sign-ups.
- Fees are exclusive of GST/VAT, which is added where applicable. All prices may be updated on 30 days' notice.
5. Acceptable use
You agree not to:
- Use HHOP in any unlawful manner or to infringe others' rights.
- Attempt to reverse-engineer, decompile, or extract source code.
- Send malware, run security scans without written consent, or stress-test the API.
- Resell or sublicense the Platform without a written partner agreement.
6. Customer data & ownership
You retain all ownership of customer data, including patient records and telemetry. You grant Coruscant a limited licence to host, process, and transmit that data solely to operate the Platform on your behalf. Our Privacy Policy describes how we handle that data.
7. Confidentiality
Each party agrees to keep confidential information of the other confidential and to use it only to perform under these Terms.
8. Service availability
We target 99.9% monthly uptime for production tiers. Scheduled maintenance windows are announced in advance. We do not guarantee uninterrupted service and are not liable for outages caused by upstream providers, network failures, or events outside our control.
9. Suspension and termination
We may suspend or terminate accounts that breach these Terms, fail to pay, or pose a security risk. You may cancel at any time from the Billing tab; access continues until the end of the current paid period.
10. Warranty disclaimer
The Platform is provided "as is" and "as available". To the maximum extent permitted by law, Coruscant disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, Coruscant's total aggregate liability arising out of or related to these Terms is limited to the fees paid by you in the twelve months preceding the claim. Coruscant is not liable for indirect, incidental, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be limited under New Zealand law (including the Consumer Guarantees Act 1993 where it applies).
12. Indemnity
You agree to indemnify Coruscant against claims arising from your misuse of the Platform, your breach of these Terms, or content you upload that infringes third-party rights or applicable law.
13. Governing law & disputes
These Terms are governed by the laws of New Zealand. The courts of New Zealand have exclusive jurisdiction, except where mandatory consumer law in your country provides otherwise.
14. Changes
We may update these Terms from time to time. Material changes will be notified at least 30 days in advance.
